JOB TITLE: Corporate Counsel

REPORTS TO: Director, Senior Corporate Counsel

GENERAL SUMMARY:
 The Corporate Counsel will provide overall legal support to both Taro and Sun Pharma, as a shared service, in the areas of Sales, Business Development, Corporate, R&D, Finance/Tax, HR, Facilities, and Procurement, etc.
 
PRINCIPAL DUTIES AND RESPONSIBILITIES:
1. Support Generics and OTC teams with customer, including large wholesalers, GPO, IDN, and distributor contracts, amendments, and other agreements associated with supporting customers
2. Support Business Development and Co-Development, including CDAs, due diligence, proposals, bids, reviewing, drafting, and negotiating agreements, contract interpretation, and other related activities
3. Support review and writing of the company’s annual report and proxy statement, filing 6-Ks, press releases, general secretarial matters, and other corporate matters
4. Support R&D reviewing, drafting, and negotiating clinical agreements
5. Support Finance/Tax with contract negotiation/drafting, purchases of real property, vendor/service provider agreements, contract interpretation, and general legal advice
6. Support HR with contract review, negotiation, and drafting for vendors/service providers and general legal advice related to HR matters
7. Support Facilities with contract negotiation, drafting, and review for vendors/service providers
8. Support Procurement with contract negotiation, drafting, and review for both direct and indirect procurement, including vendors/service providers, API supply, and other purchases of materials and goods
 
KNOWLEDGE, SKILLS/ABILITIES & EXPERIENCE TO DO THE JOB:
1. J.D. with a minimum of 3 years of experience in a law firm or in-house role focusing on contracts required.
2. Background in general corporate and transactional work.
3. Experience in corporate legal matters such as secretarial and securities helpful.
4. Excellent written and interpersonal skills and the ability to interact with executives and internal staff.
5. Pharmaceutical experience is preferred. Generic Rx and/or OTC experience highly preferred.

1. Transaction driven - ability to work extended hours as needed to accommodate business demands.
2. Collegial/Team oriented department, but significant responsibility and accountability expectations for each member.
